Active Wholesale Employee definition

Active Wholesale Employee means a U.S. Wholesale Employee who (A) is actively at work on the Closing Date (it being understood that any individual who is listed on Schedule 9.2(b), is not described in clause (B) of this sentence and is not an Inactive Wholesale Employee shall be considered to be actively at work on the Closing Date) or (B) is not actively at work on the Closing Date due to vacation, holiday, illness or injury (other than an employee who is receiving or entitled to workers compensation benefits or benefits under Bear U.S.’s long-term disability plans due to an illness or injury that was incurred, as defined in Section 9.2(c), prior to Closing or an employee not actively at work due to a condition that could result in such employee becoming entitled to benefits under Bear U.S.’s long-term disability plans after satisfying any applicable waiting period), jury duty, or bereavement leave in accordance with applicable policies of Bear U.S. With respect to a U.S. Wholesale Employee who is not actively at work on the Closing Date and is receiving or is entitled to workers compensation benefits or long-term disability benefits on the Closing Date or an employee not actively at work due to a condition that could result in such employee becoming entitled to benefits under Bear U.S.’s long-term disability plans after satisfying any applicable waiting period (“Inactive Wholesale Employees”), Buckeye U.S. shall make an offer of employment to such Inactive Wholesale Employee if, after the Closing Date but within the one-year period beginning on the earlier of (i) the Closing, or (ii) the commencement of his or her workers compensation benefits from Bear U.S. or the absence that could result in such employee becoming entitled to benefits under Bear U.S.’s long term disability plans after satisfying any applicable waiting period, such Inactive Wholesale Employee presents to Buckeye U.S. a release from the Inactive Wholesale Employee’s physician that provides the Inactive Wholesale Employee is released to restart active employment and is able to perform the essential functions of the job available with Buckeye U.S. For purposes of this Agreement, Active Wholesale Employees who, on April 19, 2009, are employed by Buckeye U.S. shall at such time of employment be referred to herein, collectively, as the “U.S. Transferred Wholesale Employees,” and Inactive Wholesale Employees who accept Buckeye U.S.’s employment offer provided under this Section 9.2(b) shall at the time of such employme...

  • Active Employee means a contributing member of the TRS who is employed by a public school and is not entitled to coverage under a plan provided under Insurance Code Chapter 1551 (Texas Em- ployees Group Benefits Act) or 1601 (State University Employees Uniform Insurance Benefits Act).

  • Male employee means an employed male who is caring for a child borne of his spouse or a child placed with the employee for adoption purposes.

  • Service employee, as used in this clause, means any person (other than a person employed in a bona fide executive, administrative, or professional capacity as defined in 29 CFR 541) engaged in performing a District contract not exempted under 41 U.S.C. §356, the principal purpose of which is to furnish services in the United States, as defined in section 22.1001 of the Federal Acquisition Regulation. It includes all such persons regardless of the actual or alleged contractual relationship between them and a contractor.

  • Prospective employee means an assessed individual who is anticipated to be hired upon completion of training.

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Inactive Employee means an employee who is not actively at work due to approved leave of absence, short-term disability leave or military leave.

  • Female employee means an employed female who is pregnant or is caring for a child she has borne or a child who has been placed with her for adoption purposes.

  • Executive Employee means those employees of the Company of Grade Level 10 or above.

  • Eligible Employees means each employee of the Company or an Affiliate.

  • Eligible Employee means full-time and part-time employees in the bargaining unit who have completed four hundred and fifty (450) hours of service and who are not prohibited from contributing to the Plan by legislation or the Plan rules because of their age or because they are in receipt of a pension from the Plan.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Designated Employee means an employee who has been designated by the school to receive complaints of hazing, harassment and bullying pursuant to subdivision 16 V.S.A. 570a(a)(7). The designated employees for each school building are identified in Appendix A of this policy.

  • New employee means a Full-Time Employee first employed by the Company in the Project and who is hired on or after the Effective Date of this Agreement.

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • U.S. Employee means a person who is an employee of the Company (or of any Subsidiary) for purposes of section 422 of the Code.

  • Non-Key Employee means any Employee who is not a Key Employee.

  • Regular Employee is one who works on a full-time or part-time basis on regularly scheduled shifts of a continuing nature:

  • Tipped employee means any employee engaged in an occupation in which s/he customarily and regularly receives more than $30 per month in tips. Tips include amounts designated as a tip by credit card customers on their charge slips. Nothing in this rule prevents an employer from requiring employees to share or allocate such tips or gratuities on a pre-established basis among other employees who customarily and regularly receive tips. Employer-required sharing of tips with employees who do not customarily and regularly receive tips, such as management or food preparers, or deduction of credit card processing fees from tipped employees, shall nullify allowable tip credits towards the minimum wage.

  • Business Employee means any Person who is a present or former employee of Seller at any time prior to or on the Closing Date, and who provided or previously provided any services relating to the Business.

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • Excluded Employee means an employee as defined in section 3527, subd. (b) of the Government Code (Ralph C. Dills Act) except those excluded employees who are designated managerial pursuant to section 18801.1 of the Government Code.

  • Regular Part-Time Employee means an employee who is appointed to a regularly scheduled position but works less than full-time. A regular part-time employee is entitled to all benefits outlined in the agreement on a pro rata basis, except where otherwise specified.

  • New Employer means, after a Change in Control, a Participant’s employer, or any direct or indirect parent or any direct or indirect majority-owned subsidiary of such employer.

  • Bona fide employee means a person, employed by a bidder and subject to the bidder's supervision and control as to time, place, and manner of performance, who neither exerts, nor proposes to exert improper influence to solicit or obtain contracts nor holds out as being able to obtain any contract(s) through improper influence.
