Acquisition Transaction Costs definition
Acquisition Transaction Costs means the fees and expenses incurred by Holdings and its Subsidiaries in connection with the Transactions.
Acquisition Transaction Costs means (without duplication of any Transaction Costs) fees, premiums, expenses and other transaction costs (including original issue discount, upfront fees and any indemnified costs, fees and expenses pursuant to any Specified Transactions consummated on or prior to the Closing Date (each an “Acquisition Transaction”) payable or otherwise borne by Holdings and/or its subsidiaries in connection with such acquisitions and the transactions contemplated thereby.
Acquisition Transaction Costs means the fees and expenses incurred by Holdings and its Subsidiaries in connection with the Transactions and the WRG Acquisition.
Examples of Acquisition Transaction Costs in a sentence
On the Closing Date, the Borrower shall use the proceeds of the Extensions of Credit to pay Acquisition Transaction Costs.
Borrower will use the proceeds of (i) the Revolving Loans made on the Closing Date for Acquisition Transaction Costs and (ii) the Revolving Loans and Swingline Loans made after the Closing Date for working capital and other general corporate purposes (including to effect Permitted Acquisitions).
