Acquiror Public Disclosure Record definition

Acquiror Public Disclosure Record means all documents and information filed by Acquiror under applicable Securities Laws on the System for Electronic Document Analysis Retrieval (SEDAR), during the three years prior to the date hereof which are publicly available as of the date hereof;
Acquiror Public Disclosure Record means the Acquiror’s publically filed documents, as filed on the System for Electronic Document Analysis and Retrieval (SEDAR);
Acquiror Public Disclosure Record means the Acquiror’s publically filed documents, as filed on SEDAR;

  • There has been no change in a material fact or a material change (as those terms are defined under the Securities Act) in any of the information contained in the Acquiror Public Disclosure Record, except for changes in material facts or material changes that are reflected in a subsequently filed document included in the Acquiror Public Disclosure Record.

  • The estimated proven and probable mineral reserves and estimated indicated, measured and inferred mineral resources disclosed in the Acquiror Public Disclosure Record have been prepared and disclosed in all material respects in accordance with all applicable Laws.

  • Public Disclosure Documents means, collectively, all of the documents which have been filed by or on behalf of the Company prior to the Time of Closing with the relevant Securities Regulators pursuant to the requirements of Securities Laws and available for viewing on the Company's profile on xxx.xxxxx.xxx;

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Public Disclosure means disclosure in a press release reported by the Dow Jones News Service, Associated Press or comparable national news service or in a document publicly filed by the corporation with the Securities and Exchange Commission pursuant to Section 13, 14 or 15(d) of the Exchange Act.

  • SEC Filings has the meaning set forth in Section 4.6.

  • Disclosure Time means, (i) if this Agreement is signed on a day that is not a Trading Day or after 9:00 a.m. (New York City time) and before midnight (New York City time) on any Trading Day, 9:01 a.m. (New York City time) on the Trading Day immediately following the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent, and (ii) if this Agreement is signed between midnight (New York City time) and 9:00 a.m. (New York City time) on any Trading Day, no later than 9:01 a.m. (New York City time) on the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent.

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • Company SEC Documents shall have the meaning set forth in Section 4.7(a).

  • Company SEC Reports shall have the meaning set forth in Section 3.8(a).

  • Company Proxy Statement has the meaning set forth in Section 3.5.

  • Proxy Statement has the meaning set forth in Section 6.03(a).

  • 8-K Filing has the meaning set forth in Section 4.5.

  • Information Statement has the meaning set forth in Section 6.6.

  • Parent Disclosure Letter means the disclosure letter delivered by Parent to the Company in connection with, and upon the execution of, this Agreement.

  • Current Report shall have the meaning assigned to such term in Section 2.3.

  • Risk Disclosure Statement the risk disclosure statement provided by the Broker to the Client before the opening of the Account and/or from time to time in form prescribed by the SFC from time to time with the current version set out in Part IV;

  • Parent Disclosure Schedule means the disclosure schedule dated the date hereof regarding this Agreement that has been provided by Parent to the Company.

  • SEC Documents shall have the meaning specified in Section 4.5.

  • Form 8-K Disclosure Information As defined in Section 11.07.

  • Disclosure Materials has the meaning set forth in Section 3.1(h).

  • Shareholder Materials means the Fund’s prospectus, statement of additional information and any other materials relating to the Fund provided to Fund shareholders by the Fund.

  • Buyer Disclosure Schedules means the disclosure schedules delivered by Buyer to Seller concurrently with the execution and delivery of this Agreement.

  • Parent SEC Reports has the meaning set forth in Section 4.5(a).

  • SEC Reports shall have the meaning ascribed to such term in Section 3.1(h).

  • Schedule 14D-9 has the meaning set forth in Section 1.02(a).

  • Subsequent Disclosure Documents means any financial statements, management’s discussion and analysis, information circulars, annual information forms, material change reports (other than confidential material change reports), business acquisition reports or other documents issued by the Corporation after the Execution Time which are, or are deemed to be, pursuant to applicable Securities Laws, incorporated by reference into the Final Prospectuses or any Prospectus Amendment;
