Acquired Products definition

Acquired Products shall have the meaning specified in Section 1.2.
Acquired Products means all of Seller’s and its Subsidiaries’ network search engine products designed, developed, manufactured, marketed, sold or distributed by the NSE Business, including, without limitation, those listed on Schedule 2.1, other than the Retained Products.
Acquired Products means any products or services developed, offered for sale, marketed or sold by (a) Mojo Networks or Duo Security, (b) any entity that has been or is acquired by a Party or its Affiliates in an acquisition with a closing date after August 1, 2018 or (c) any entity that otherwise has become or becomes an Affiliate of a Party after August 1, 2018 (“Acquired Products”). Acquired Products will be treated as New Products and subject to the 3 Year Stand Down and Dispute Resolution Process below.

Examples of Acquired Products in a sentence

  • The Support Level(s) defined herein may not be applicable to the Acquired Products at the time of the acquisition, but We may, within a reasonable period of time after the acquisition, provide a description of the Support Level(s) available for the Acquired Products, which will become applicable once published on Our Support webpage.

  • Except for Seller’s Subsidiaries, no other Affiliates or joint venture partners of Seller (a) are engaged in activities which are material to the use, manufacture or sale or offer for sale of any Acquired Products, (b) have entered into any Contract with Seller or any of its Subsidiaries with respect to any Intellectual Property Assets (including, without limitation, the use, distribution or license of such Intellectual Property Assets) or (c) own or have any other interest in any of the Acquired Assets.

  • Except as set forth on Schedule 3.6, the Other Personal Property presently and actively used for or in connection with the Acquired Products is in good operating condition for the purposes for which they are currently being used, normal wear and tear excepted.

  • Seller and its Subsidiaries own or are licensed or otherwise have the right to use, without future payment to any other Person, all intellectual property assets and rights used in or necessary for the use of any Acquired Assets in order to use, make, have made, offer for sale or sell any Acquired Products anywhere in the world, in each case free and clear of all Encumbrances (other than Permitted Encumbrances).

Acquired Products means the computer software programs acquired by Licensee pursuant to, and listed on Schedule 1.55 of the Asset Purchase Agreement.

Acquired Products means any products, whether or not part of the Core Business, held out or made available for sale to customers after the Closing Date by Purchaser and its Affiliates, which are acquired by Purchaser or an Affiliate of Purchaser (or as to which the right to manufacture, market and/or sell are acquired) in connection with the acquisition after the Closing Date of an interest in tangible or intangible assets or a business from, or pursuant to a joint venture, reseller agreement, distribution agreement, license agreement or other agreement entered into after the Closing Date with, any Person that was not an Affiliate of Purchaser immediately prior to the acquisition of such assets or business or immediately prior to entering into such joint venture, reseller agreement, distribution agreement, license agreement or other agreement.
