Acquired Company Products definition

Acquired Company Products means all products and services that are researched, developed, manufactured, supplied, distributed, marketed, promoted or sold by the Acquired Companies, including (i) foliar and seed-applied fertilizers (nutrition deficiency correctors), liquid biostimulants (such as combinations of amino-acids, organic acids, sea-weed extracts, yeast extracts, yeast fermentation products, plant extracts and hormones with or without micro-nutrients), systemic induced resistance, systemic acquired resistance stimulants, RNA expression stimulants, soil conditioners, surfactants, adjuvants, seed treatment and bio nematicides and any similar contemplated product concepts and (ii) the products set forth on Exhibit A.
Acquired Company Products means all Software and other products and services from which the Acquired Companies have derived within the three (3) years preceding the date hereof or are currently deriving revenue from the sale, license, maintenance or other provision thereof.
Acquired Company Products means all products and services manufactured, marketed, offered, sold or licensed by the Acquired Company or its Subsidiaries, including any products or services under development, at Closing.

  • The Acquired Companies are not under any obligation, whether written or otherwise, to develop any customized Intellectual Property (including any elements of any Acquired Company Products) for any Person (including any customer or end user) (except with respect to installation and configuration requirements in customer agreements entered into in the Ordinary Course of Business).

  • The Acquired Companies have not disclosed any material confidential Acquired Company Intellectual Property (including the source code to any Acquired Company Products) to any Person other than pursuant to a written confidentiality agreement pursuant to which such Person agrees to protect such confidential information.

  • Part 2.10(m) of the Disclosure Schedule identifies all known bugs, defects, and errors in each version of the Acquired Company Software or the Acquired Company Products in the Acquired Company IP.

  • Notwithstanding anything to the contrary, neither the Acquired Company Products nor Acquired Company Brands include any brands, products and services that are manufactured, distilled, brewed, produced, marketed, offered, sold, licensed, provided or distributed by or on behalf of any Excluded Brand.

Acquired Company Products shall have the meaning set forth in Section 3.12(a)(iii).

Acquired Company Products is defined in Section 4.18.

Related to Acquired Company Products

  • Company Products means all products or services produced, marketed, licensed, sold, distributed or performed by or on behalf of the Company or any Subsidiary and all products or services currently under development by the Company or any Subsidiary.

  • Company Product means any product or service designed, developed, manufactured, marketed, distributed, provided, licensed, or sold at any time by the Company.
