Accuracy of Reports. All reports required to be filed by the Company within the two years prior to the date of this Agreement (the “SEC Reports”) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), have been filed with the SEC, complied at the time of filing in all material respects with the requirements of their respective forms and, except to the extent updated or superseded by any subsequently filed report, were complete and correct in all material respects as of the dates at which the information was furnished, and contained (as of such dates) no untrue statements of a material fact nor omitted to state any material fact necessary in order to make the statements contained therein, in light of the circumstances under which they were made, not misleading.

Accuracy of Reports. The Annual Report, the Company's quarterly ------------------- report on Form 10-Q for the quarter ended March 31, 1999 filed with the SEC (the "Quarterly Report"), and all reports required to be filed by the Company thereafter to the date of this Agreement under the Securities Exchange Act of 1934, as amended (the "Exchange Act"), copies of which have been furnished to the Investor (together, the "SEC Reports"), have been duly filed, were (as amended to date) complete and correct in all material respects as of the dates at which the information was furnished, and (as amended to date) contained (as of such dates) no untrue statement of a material fact nor omitted to state a material fact necessary in order to make the statements made therein, in light of the circumstances in which they were made, not misleading.

Accuracy of Reports. The failure of Contractor to file accurate and timely operational reports, proposal(s), information or correspondence to County, or the inclusion of any inaccurate or misleading data, statement or representation by Contractor in such report(s), proposal(s), information or correspondence to County shall be deemed a Contractor default as described in Section 14.01 subject to the notice and cure provisions of that Section and shall subject Contractor to all remedies which are available to County under the agreement or otherwise
Accuracy of Reports. The Weekly Report, Monthly Reports and the Other Reports will be true and correct in all respects. Borrower acknowledges DFS' reliance on the truthfulness and accuracy of each Weekly Report, Monthly Report and the Other Reports.

Accuracy of Reports. The failure of Contractor to file accurate and timely reports, 3347 proposal(s), information, or correspondence to Agency or SBWMA, or the inclusion 3348 of any inaccurate or misleading data, statement or representation by Contractor in 3349 such report(s), proposal(s), information, or correspondence to Agency or SBWMA, 3350 shall be subject to Liquidated Damages as set forth in Attachment J. In addition, the 3351 inclusion of any materially false or misleading statement or representation by 3352 Contractor in such report shall be deemed a Contractor default as described in 3353 Section 14.01 subject to the notice and cure provisions of that Section and shall 3354 subject Contractor to all remedies which are available to the Agency under the 3355 Agreement or otherwise.
Accuracy of Reports. All reports required to be filed by the Company during the two years preceding the date hereof (the “SEC Reports”) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), have been timely filed with the SEC, complied at the time of filing in all material respects with the requirements of their respective forms and, except to the extent any such SEC Report has been updated or superseded prior to the date of this Agreement by any subsequently filed report, were complete and correct in all material respects as of the dates at which the information was furnished, and contained (as of such dates) no untrue statements of a material fact nor omitted to state any material fact necessary in order to make the statements contained therein, in light of the circumstances under which they were made, not misleading. None of the statements made in any such SEC Report is, or has been, required to be amended or updated under applicable law (except for such statements as have been amended or updated in subsequent filings made prior to the date hereof). As of their respective dates, the financial statements of the Company included in the SEC Reports complied in all material respects with applicable accounting requirements and the published rules and regulations of the SEC with respect thereto in effect as of the time of filing. There are no unresolved SEC staff comments with respect to any of the Company’s reports filed under the Exchange Act.
Accuracy of Reports. All information, reports, statements and other documents and data provided to the Agent or the Lenders, whether pursuant to this Article or any other provisions of this Agreement shall, at the time same shall be provided, be true, complete and accurate in all material respects to the extent necessary to provide the Lenders with a true and accurate understanding of their effect.
