Acceptance of Employment by the Executive. The Executive hereby accepts such employment and shall render the services and perform the duties described above.
Acceptance of Employment by the Executive. The Executive hereby accepts such employment for the Employment Term and agrees to render the services required of him under Section 1.1. During the Employment Term, the Executive shall devote his full business time, attention and energy to the business of the Company and the performance of his duties under this Agreement. The foregoing shall not, however, prohibit the Executive from making and managing personal investments, or from engaging in civic or charitable activities, that do not materially impair the performance of his duties under this Agreement. If appointed or elected, as applicable, the Executive also shall serve during all or any part of the Employment Term as any other officer and/or as a director of the Company or any of its subsidiaries or affiliates, without any additional compensation other than that specified in this Agreement.

Subject to appointment by the Board as such, the Executive may also serve during all or any part of the Term as an officer of any other entity controlled by the Company, and as a director of the Company and of any other entity controlled by the Company, in each case without any compensation therefor other than that specified in this Agreement.

If requested, the Executive agrees, in addition, to render, without additional compensation, the services described above in the capacity of Senior Vice President of Holdings.

The Executive hereby accepts such employment and represents and warrants that (i) the Executive has full authority to enter into this Agreement, (ii) the Executive is not restricted in any manner from providing services hereunder or from engaging in the Business and (iii) the Executive is not aware of any situation creating a conflict of interest between the Executive and the Company.

Subject to election by the Company’s Board of Directors as such, the Executive shall also serve during all or any part of the Term (as defined below) as an officer of the Company and of any of its subsidiaries, without any compensation therefore other than as specified in this Agreement. The Executive shall be nominated to the Board of Directors of the Company and, subject to election by the stockholders of the Company, shall serve as a director of the Company during the Term, and at the discretion of the Company, shall serve as a director of any one or more of the Company’s subsidiaries, without any compensation therefore other than as specified in this Agreement. Notwithstanding the foregoing, if the Executive is no longer employed by the Company as the President or otherwise servicing the Company as a full-time consultant, the Executive shall, upon request of the Company, promptly resign from the Board of Directors of the Company and/or any of its subsidiaries.
Acceptance of Employment by the Executive. The Executive accepts such employment and shall render the services described above. Subject to appointment by the Board as such, the Executive may also serve as an officer of any other entity controlled by, or under common control with, the Company, and as a director of the Company and of any other entity controlled by or under common control with the Company, in each case without any compensation therefor other than that specified in this Agreement. Upon request, or upon termination of employment with Company hereunder for any reason, the Executive shall, upon request, resign as a director or officer of the Company and of any other entity controlled by, or under common control with, the Company.
Acceptance of Employment by the Executive. The Executive hereby accepts the employment and agrees to fulfill the duties described above. Under no circumstances shall the Executive be obligated without his consent to relocate his residence in order to render the services or to perform his duties outside of the Los Angeles metropolitan area.

The Executive shall devote his full business time and energies to the business of the Company and those of its subsidiaries and to faithfully and diligently perform his duties hereunder, subject to illness, vacations and personal affairs consistent with Company policies for its executives generally. The preceding sentence shall not preclude Executive from serving on the Board of Directors (or comparable governing body) of other business enterprises or from participating in the affairs of any governmental, educational or other charitable institutions with the prior permission of the Company (permission to serve on the Boards of Directors listed on Exhibit A hereto having already been given by the Company).
