Accel Investors definition

Accel Investors means Accel Leaders Fund L.P., Accel Leaders Fund Investors 2016 L.L.C., Accel London III L.P., Accel London Investors 2012 L.P., Accel Growth Fund II L.P., Accel Growth Fund II Strategic Partners L.P., Accel Growth Fund Investors 2013 L.L.C. and their permitted transferees and Affiliates. Affiliate: shall mean any Person or entity, directly or indirectly controlling, controlled by or under common control with such Person or entity, including, but not limited to, (i) a general partner, limited partner, or retired partner affiliated with such Person or entity, (ii) a fund, partnership, limited liability company or other entity that is affiliated with such Person or entity, (iii) a director, officer, stockholder, partner or member (or retired partner or member) affiliated with such Person or entity, or (iv) or to the estate of any such partner or member (or retired partner or member) affiliated with such Person or entity. Notwithstanding the above, (a) neither the Company nor any of its subsidiaries shall be deemed to be an Affiliate of any of the Investors, and (b) (1) D. Xxxxx Xxxxxxx shall be deemed the only Affiliate of the Xxxxxx Xxxxx Xxxxxxx and Xxxxxxx Xxxx Xxxxxxx Revocable Trust Dated 12/29/2004 and (2) Xxxxxx Xxxxx shall be deemed the only Affiliate of Xxxxx 2009 Spendthrift Trust, Dated 4/2/2009, Xxxxxxxxx Xxxxx Irrevocable Gift Trust dated December 14, 2011 and Xxxxxxx Xxxxx Irrevocable Gift Trust dated December 14, 2011.

Accel Investors means each of Accel Growth Fund V L.P., Accel Growth Fund V Strategic Partners L.P., Accel Growth Fund V Investors (2019) L.L.C., Accel Leaders Fund II L.P., Accel Leaders Fund II Strategic Partners L.P., and Accel Leaders Fund II Investors (2019) L.L.C., and each of their respective Affiliates that holds Capital Stock from time to time. No Person shall be an “Accel Investor” hereunder if such Person does not own any shares of Capital Stock.

  • Investors means the Initial Investors and any transferee or assignee who agrees to become bound by the provisions of this Agreement in accordance with Section 9 hereof.

  • TPG has the meaning set forth in the preamble.

  • Investor is defined in the preamble to this Agreement.

  • Selling Stockholders means Purchaser and any other purchaser of Units in the Offering, and their respective successors and assigns.

  • Founders means all Members immediately prior to the consummation of the IPO.

  • BRS means Behavior Rehabilitation Services.

  • Blackstone means collectively, The Blackstone Group L.P., a Delaware limited partnership, and any Affiliate thereof (excluding any natural persons and any portfolio companies of any Blackstone-sponsored fund).

  • Institutional Investors means any regulated investment company, segregated asset account, foreign investment company, common trust fund, group trust or other investment arrangement, whether organized within or without the United States of America.

  • Equity Holders means the Stockholders and the Option Holders.

  • Majority Stockholders means any Stockholder or combination of Stockholders who at the date of this Agreement own shares of Company Common Stock representing more than two-thirds of the total number of shares of Company Common Stock outstanding at the date of this Agreement.

  • Carlyle means Carlyle Investment Management, LLC.

  • Key Holders means the persons named on Schedule B hereto, each person to whom the rights of a Key Holder are assigned pursuant to Subsection 3.1, each person who hereafter becomes a signatory to this Agreement pursuant to Subsection 6.9 or 6.17 and any one of them, as the context may require.
