ABS Asset definition

ABS Asset means any asset backed security (including residual equity interests) or other credit instrument included in the Schedule of ABS Assets delivered by the Borrower to the Deal Agent as part of a Funding Request; provided, however, that once the Deal Agent has released its security interest in an ABS Asset in accordance with the terms of this Agreement, such ABS Asset shall no longer be an ABS Asset hereunder.

Examples of ABS Asset in a sentence

  • For the avoidance of doubt, a Synthetic ABS Asset shall be deemed to belong to an asset class or sub-asset class based on the nature and composition of its ultimate underlying assets, as determined by the Protection Buyer.

  • In the event that, after a Reference Obligation which is a Synthetic ABS Asset is added to the Reference Portfolio, any amendment is made to its terms, then the Protection Buyer shall Remove such Reference Obligation from the Reference Portfolio pursuant to Paragraph 7(b) on the first Portfolio Fixing Date on which it is able to do so in accordance with the relevant requirements of such Paragraph.

  • For the avoidance of doubt, and subject to the provisions of Paragraph 7, nothing in this sub- paragraph shall prevent the Protection Buyer from adding the amended Synthetic ABS Asset, as a new Reference Obligation, to the Reference Portfolio.

  • ABS Asset Class ABS typically comprise a lower volatility asset class relative to certain asset classes mentioned herein (prices of ABS tend to move more slowly and in a smaller range than corporate or financial bonds) that can provide stable returns, with structural features built in that help protect the investor against a downturn in the performance of the assets underlying the ABS.

  • The ABS Asset Class will be managed as a long-only portfolio utilising senior, mezzanine and/or junior securities.

  • ABS AssetABS Asset” means any Cash ABS Asset or Synthetic ABS Asset.Applicable Exchange Rate “Applicable Exchange Rate” has the meaning given inParagraph 6.1.Asset Swap “Asset Swap” has the meaning given in the Conditions.

  • The ABS Asset Class is expected to comprise exposure to predominantly European ABS issuers and/or underlying assets.

  • The last one is similar to ABS (Asset Backed Security) and leads to involving the block- chain in the securitization process.

  • SEA, a foreign subsidiary, has a contract for issuing ABS (Asset Backed Securities) backed by accounts receivable with BTMU and other financial institutions for up to US$700 million.

  • The terms "Credit Event", "Event Determination Date", "Final Price", "Notice Delivery Period", "Reference Obligations" and "Synthetic ABS Asset" are defined in the Schedule to these Terms.

Related to ABS Asset

  • Securitization Asset means (a) any accounts receivable, mortgage receivables, loan receivables, royalty, franchise fee, license fee, patent or other revenue streams and other rights to payment or related assets and the proceeds thereof and (b) all collateral securing such receivable or asset, all contracts and contract rights, guarantees or other obligations in respect of such receivable or asset, lockbox accounts and records with respect to such account or asset and any other assets customarily transferred (or in respect of which security interests are customarily granted) together with accounts or assets in connection with a securitization, factoring or receivable sale transaction.

  • Portfolio Asset means an asset of an investment fund;

  • Purchased Asset means (i) with respect to any Transaction, the Eligible Asset sold by Seller to Buyer in such Transaction and (ii) with respect to the Transactions in general, all Eligible Assets sold by Seller to Buyer (other than Purchased Assets that have been repurchased by Seller).

  • Underlying Asset means the object or underlying asset in a CFD which may be Currency Pairs (for FX Contracts), Equity Indices, base or precious Metals, Forwards, Commodities, Stocks, Shares Indices and Futures. It is understood that the list is subject to change and Clients must refer each time on the Trading Platform.

  • Specified Asset as defined in subsection 4.2.2 hereof.

  • Loan Asset means each commercial loan identified on Schedule A hereto, and each commercial loan identified on any Purchase Notice.

  • Securitization Property means the property described in section 10j.

  • Securitization Assets means (a) the account receivable, royalty or other revenue streams and other rights to payment and other assets related thereto subject to a Qualified Receivables Financing and the proceeds thereof and (b) contract rights, lockbox accounts and records with respect to such accounts receivable and any other assets customarily transferred together with accounts receivable in a securitization financing.

  • Fund's Assets means any of the Fund's investments (including foreign currencies) for which the primary market is outside the United States, and such cash and cash equivalents as are reasonably necessary to effect the Fund's transactions in such investments.

  • Reference Asset means a reference asset of the relevant Index or Investment Strategy in respect of a Series of ETP Securities as specified in the Final Terms.

  • Excluded Asset means any asset of any Grantor excluded from the security interest hereunder by virtue of Section 2.2 hereof but only to the extent, and for so long as, so excluded thereunder.

  • Pledged Asset Mortgage Loan A Mortgage Loan as to which, at the time of origination, a Letter of Credit was issued in favor of the initial holder of such Mortgage Loan.

  • Asset Pool means a pool of cash-flow generating assets in which an issuer of a securitized product has a direct or indirect ownership or security interest;

  • Fleet Vehicle means one of a large group of New Vehicles sold to a Person (e.g., a rental car agency) which purchases in excess of ten (10) Vehicles per purchase contract for commercial use.

  • Receivables Entity means (x) the Excluded Subsidiary and (y) each other wholly-owned Subsidiary of the Borrower which engages in no activities other than in connection with the financing of accounts receivable of the Receivables Sellers and which is designated (as provided below) as the “Receivables Entity” (a) no portion of the Indebtedness or any other obligations (contingent or otherwise) of which (i) is guaranteed by the Borrower or any other Subsidiary of the Borrower (excluding guarantees of obligations (other than the principal of, and interest on, Indebtedness) pursuant to Standard Securitization Undertakings), (ii) is recourse to or obligates the Borrower or any other Subsidiary of the Borrower in any way (other than pursuant to Standard Securitization Undertakings) or (iii) subjects any property or asset of the Borrower or any other Subsidiary of the Borrower, directly or indirectly, contingently or otherwise, to the satisfaction thereof (other than pursuant to Standard Securitization Undertakings), (b) with which neither the Borrower nor any of its Subsidiaries has any contract, agreement, arrangement or understanding (other than pursuant to the Permitted Receivables Facility Documents (including with respect to fees payable in the ordinary course of business in connection with the servicing of accounts receivable and related assets)) on terms less favorable to the Borrower or such Subsidiary than those that might be obtained at the time from persons that are not Affiliates of the Borrower, and (c) to which neither the Borrower nor any other Subsidiary of the Borrower has any obligation to maintain or preserve such entity’s financial condition or cause such entity to achieve certain levels of operating results. Any such designation shall be evidenced to the Administrative Agent by filing with the Administrative Agent an officer’s certificate of the Borrower certifying that, to the best of such officer’s knowledge and belief after consultation with counsel, such designation complied with the foregoing conditions.

  • Repurchase Assets has the meaning assigned thereto in Section 8 hereof.

  • Underlying Assets With respect to a Loan, any property or other assets designated and pledged as collateral to secure repayment of such Loan, including, without limitation, to the extent provided for in the relevant Underlying Instruments, a pledge of the stock, membership or other ownership interests in the related Obligor and all Proceeds from any sale or other disposition of such property or other assets.

  • Transferred Asset means each asset, including any Loan Asset and Substitute Loan Asset (including, if any, the Participation thereof), Conveyed by the Seller to the Purchaser hereunder, including with respect to each such asset, all Related Property; provided that the foregoing will exclude the Retained Interest and the Excluded Amounts.

  • Servicer Mortgage Loan File As defined in each of the Servicing Agreements.

  • Collateral Certificate means an Investor Certificate issued pursuant to a Pooling and Servicing Agreement and the related Series Supplement.

  • Fixed Asset means a tangible non-current asset, including buildings and equipment, acquired not for sale but for use for the Project during the Eligible Expenditure Period;

  • Modified Asset Any Serviced Loan as to which any Servicing Transfer Event has occurred and which has been modified by the Special Servicer pursuant to Section 3.24 of this Agreement in a manner that:

  • Mortgage Loan shall have the meaning assigned to such term in the recitals.

  • Settlement Asset means any cash, receivable or other property, including a Settlement Receivable, due or conveyed to a Person in consideration for a Settlement made or arranged, or to be made or arranged, by such Person or an Affiliate of such Person.

  • Mortgage Loan File As defined in Section 2.1(b) and any additional documents required to be added to the Mortgage Loan File pursuant to this Agreement.

  • Sale Assets is defined in Section 5.2(a)(ii).
