In connection therewith, prior to the start of each fiscal year of the Bank, Employee and the Board of Directors of the Bank shall, in good faith and taking into account all appropriate factors, determine what would constitute "Threshold," "Plan," "Above Plan," and "Superior" performance of the Bank during the upcoming fiscal year, the criteria to be used in determining whether such performance has been achieved, and the bonus payment to be due and owing Employee for achieving each performance level.
