Existing Owner means (a) with respect to and for the purpose of dealing with the Auction Agent in connection with an Auction, a Person who is a Broker-Dealer listed in the Existing Owner Registry at the close of business on the Business Day immediately preceding the Auction Date for such Auction and (b) with respect to and for the purpose of dealing with the Broker-Dealers in connection with an Auction, a Person who is a beneficial owner of Auction Rate Notes.
Tendering Partner shall have the meaning set forth in Section 8.6.A.
Tendering Party has the meaning provided in Section 8.5(a) hereof.
Managing Owner as used only in this Section 4.7 shall include, in addition to the Managing Owner, any other Covered Person performing services on behalf of the Trust and acting within the scope of the Managing Owner’s authority as set forth in this Trust Agreement.
Building Owner means an owner of land who is desirous of exercising rights under this Act;
Delivering Party means the entity supplying capacity and energy to be transmitted at Point(s) of Receipt. Delivery Year:
Initiating Member shall have the meaning provided in Section 15.2(a).
Trading Partner means an entity that has registered with the Commission to exchange data through Electronic Data Interchange.
Disposing Member is defined in Section 4.1.
Participating Entity Any Subcontractor or Subservicer which is “participating in the servicing function” within the meaning of Item 1122 of Regulation AB; provided, further, for the purposes of the third paragraph of Section 7.04(c), that a “Participating Entity” shall be determined without respect to any threshold limitations in Instruction 2. to Item 1122 of Regulation AB. Person: Any individual, corporation, partnership, limited liability company, joint venture, association, joint-stock company, trust, unincorporated organization, government or any agency or political subdivision thereof.
Producing Party means the parties to this action and any third-parties producing “Confidential Information” in connection with depositions, document production or otherwise, or the party asserting the confidentiality privilege, as the case may be.
Redeeming Partner has the meaning set forth in Section 8.6.A.
TRC means Toledo Refining Company LLC.
Consenting working interest owner means any working interest owner who enters into an agreement with Ascent pertaining to the operation of the Scout W SHC HR Unit.
Notifying Party As defined in Section 3.01(i).
Controlling ownership interested means ownership of or entitlement to more than twenty five percent of shares or capital or profits of the Company;
Lot Owner means a declarant or other person who owns a lot, or a lessee of a lot in a leasehold planned community whose lease expires simultaneously with any lease the expiration or termination of which will remove the lot from the planned community, but does not include a person having an interest in a lot solely as security for an obligation.
Qualifying Owners means GIP and its Subsidiaries.
Selling Partner has the meaning set forth in Section 8.5.
Controlling ownership interest means ownership of or entitlement to more than twenty-five percent of shares or capital or profits of the company;
Gatherer As defined in the preamble of this Agreement.
Initiating Party means a party who gives notice under section 2 of this Schedule;
Transferring Party has the meaning given such term in Section 5.2(b).
IRA Owner – Means the individual whose name appears on the Adoption Agreement, who is establishing the IRA.
Departing Partner means a former General Partner from and after the effective date of any withdrawal or removal of such former General Partner pursuant to Section 11.1 or 11.2.
Operator means the operator of an internet website, online service, online application, or mobile application with actual knowledge that the site, service, or application is used for K–12 school purposes. Any entity that operates an internet website, online service, online application, or mobile application that has entered into a signed, written agreement with an LEA to provide a service to that LEA shall be considered an “operator” for the purposes of this section.
