A/B Exchange definition

A/B Exchange means an exchange of one Collateral Debt Obligation (an “A Security”) for another Collateral Debt Obligation (a “B Security”), where the B Security is issued by the issuer or issuers of the A Security and has substantially identical terms to the A Security, except that one or more restrictions on the ability of the holder to sell or otherwise dispose of the A Security (including the requirement that the holder deliver a prospectus to the transferee in such sale or other disposition) are inapplicable to the B Security and cash or cash equivalents in settlement of fractional or unauthorised denominations of A Securities tendered for exchange or B Securities received in the exchange.
A/B Exchange means the repurchase of 45,787,948 Class A Ordinary Shares (as defined below) held by Issuer for their aggregate par value in consideration for the issue of 45,787,948 Class B Ordinary Shares (as defined below) at their aggregate par value.
