AA PAYMENTS definition
AA PAYMENTS means the aggregate amount of all cash dividend payments made by or on behalf of AA to S-C and Quantum, in respect of or relating to the AA Shares, but expressly excluding the $2,000,000 financing fee received or receivable by S-C, Quantum or any affiliate of S-C or Quantum in connection with the Acquisition or any other fee or other compensation paid or payable to S-C, Quantum or any affiliate of S-C or Quantum for services rendered.
