In this Agreement, unless something in· the subject matter or context is inconsistent therewith: "80/20 Ratio" refers to the Project being financed 80% by total Debt financing pursuant to Senior Commercial Debt and 20% by total equity financing as contemplated by section 6.1 of the Processing Agreements, or such other lower ratio of total Debt financing to total equity financing as agreed by the Subordinated Debt Lenders from time.
In the event that Senior Commercial Debt is subsequently available to the Borrower at a lower leverage than the 80/20 Ratio but meets the indicative spread test in item (ii) of the definition of Acceptable Senior Commercial Debt, the amount of Tranche 2 of the Class B Subordinated Debt Facility available to the Borrower for each Advance may be reduced by the Lenders, at their option, by the amount of such Senior Commercial Debt which is available to fund completion of construction of the Project to COD.
Such Drawdown Schedule shall take into consideration the availability of Debt under the then- applicable Senior Commercial Debt Agreements, if any, and achieving the 80/20 Ratio in respect of Advances under the Class A Subordinated Debt Facility.
