2014 Consent Solicitation Statement means the consent solicitation statement of the Issuer, dated as of March 27, 2014, with respect to, among other things, entry into one or more supplemental indentures.
Consent Solicitation Statement means the consent solicitation statement included as part of the Registration Statement with respect to the solicitation by the Company of the Company Stockholder Approval.
Consent Solicitation has the meaning set forth in Section 6.15(b).
Consent Solicitation Memorandum means the consent solicitation memorandum dated 20 October 2021 prepared by the Issuer in relation to the Consent Solicitation;

Information Statement has the meaning set forth in Section 6.6.
Tender Offer Documents means the documents provided to the holders of the Auction Preferred Shares by or on behalf of the Fund in connection with the Tender Offer.
Exchange Offer Registration Statement means an exchange offer registration statement on Form S-4 (or, if applicable, on another appropriate form) and all amendments and supplements to such registration statement, in each case including the Prospectus contained therein or deemed a part thereof, all exhibits thereto and any document incorporated by reference therein.
Merger Registration Statement means the registration statement, together with all amendments, filed with the SEC under the Securities Act for the purpose of registering shares of NYB Common Stock to be offered to holders of Synergy Common Stock in connection with the Merger.
Initial Filing Deadline means the date which is thirty (30) calendar days after the Closing Date.
Home solicitation sale means a sale of goods or services of more than $25.00 in which the seller or a person acting for the seller engages in a personal, telephonic, or written solicitation of the sale, the solicitation is received by the buyer at a residence of the buyer, and the buyer's agreement or offer to purchase is there given to the seller or a person acting for the seller. Home solicitation sale does not include any of the following:
Distribution Statement has the meaning set forth in Section 5.02(c) of the Trust Agreement.
Proxy Statement has the meaning set forth in Section 6.03(a).
10-K Filing Deadline As defined in Section 11.05(a).
Form S-4 Registration Statement means the registration statement on Form S-4 to be filed with the SEC by Parent in connection with issuance of Parent Common Stock in the Merger, as said registration statement may be amended prior to the time it is declared effective by the SEC.
New Registration Statement has the meaning set forth in Section 2(a).
Company Proxy Statement has the meaning set forth in Section 3.5.
Rule 462(b) Registration Statement means a registration statement and any amendments thereto filed pursuant to Rule 462(b) relating to the offering covered by the registration statement referred to in Section 1(a) hereof.
Initial Registration Statement means the initial Registration Statement filed pursuant to this Agreement.
Offer Documents shall have the meaning set forth in Section 2.1(b).
Proxy Statement/Prospectus has the meaning set forth in Section 6.03(a).
Exchange Registration Statement shall have the meaning assigned thereto in Section 2(a) hereof.
Interim Prospectus Supplement means the prospectus supplement relating to the Shares prepared and filed pursuant to Rule 424(b) from time to time as provided by Section 4(q) of this Agreement.
Shelf Filing Deadline As defined in Section 4(a) hereof.
Joint Proxy Statement/Prospectus has the meaning set forth in Section 6.1(a).
Solicitation Amendment means a written document that is authorized by the Procurement Officer and issued for the purpose of making changes to the Solicitation.
Joint Proxy Statement shall have the meaning set forth in Section 6.3(a).
