2003 Ground Lease means that certain Ground Lease between the Morgan Hill Redevelopment Agency and the County, dated as of December 1, 2003, as originally executed and recorded or as it may from time to time be supplemented, modified or amended.
To the extent the provisions with respect to insurance or condemnation contained in the 2003 Ground Lease conflict with the Facility Lease, the Facility Lease will control.
In addition, the County is required to pay directly all operating expenses, taxes, assessments, insurance, costs of maintenance, replacement and repairs, and utility or service charges, fees, charges or other costs incurred during the term of the 2003 Ground Lease which in any way relate to the operation and maintenance of the Courthouse Demised Premises and the Courthouse Facilities.
The term of the 2003 Ground Lease commenced on December 1, 2003 and will expire at 11:59 p.m. on December 31, 2043.
Any insurance provided by the County with respect to the Courthouse Demised Premises or the Courthouse Facilities as required by such Facility Lease will satisfy the requirements for insurance set forth in the 2003 Ground Lease, without duplication.
Provided that no Event of Default (as defined in the 2003 Ground Lease) has occurred or is then continuing, upon the expiration date of the 2003 Ground Lease, the Courthouse Demised Premises and the Courthouse Facilities will unconditionally be, and become, the property solely of the then existing tenant or tenants under the 2003 Ground Lease, and no compensation will be due or paid by the tenant or tenants to the Morgan Hill Agency for any part thereof.
