1988 POLICY means the 1988 Change in Control Policy of United States Trust Company of New York and Affiliated Companies, as set forth in and adopted by resolutions of the Board of Directors of U.S. Trust Corporation at its meeting on January 26, 1988. The 1988 Policy is reproduced in Schedule B hereto.
