100% Losses definition

100% Losses means Losses arising out of or resulting from (i) a breach of a Title and Authorization Warranty (other than the representation and warranty set forth in Section 4.7(b)), (ii) a breach of a covenant contained herein (other than breaches of covenants contained in (A) the first sentence of Section 6.2, (B) Section 6.2(a)(ii), (iii), (vi), (xvi) or (xx) or (C) Section 6.2(b), (c), or (d)) or in a Conveyance Agreement, (iii) Section 12.2(c), (d), or (e) hereof, (iv) Section 12.3(c) or (d) hereof or (v) fraud.

  • Net Losses means, for each fiscal year or other period, an amount equal to the Partnership's taxable income or loss for such year or period determined in accordance with Code Section 703(a) (for this purpose, all items of income, gain, loss or deduction required to be stated separately pursuant to Code Section 703(a)(1) shall be included in taxable income or loss), with the following adjustments:

  • Aggregate Net Losses means, with respect to a Collection Period, an amount equal to the aggregate Principal Balance of all Receivables that became Defaulted Receivables during such Collection Period minus all Net Liquidation Proceeds collected during such Collection Period with respect to all Defaulted Receivables.

  • Losses shall have the meaning set forth in Section 5(a).
