This TAX SHARING AND INDEMNITY AGREEMENT (the “Agreement”) is dated as of the 5th day of April, 2006, by and between Electrolux Holdings, Inc., an Ohio corporation (“EHI”), Electrolux Home Products, Inc., a Delaware corporation (“EHP”), Husqvarna Professional Outdoor Products, Inc., an Ohio corporation (“HPOP”), Husqvarna Outdoor Products Inc., a Delaware corporation (“HOP”), Husqvarna AB, a Sweden corporation (“HAB”), and AB Electrolux (publ), a Sweden corporation (“ABE”).
