Agreement (“Development Agreement”), which was entered into on October 3, 2013, between the Minnesota Sports Facilities Authority (“MSFA”) and Minnesota Vikings Football, LLC (“Vikings”). The Development Agreement establishes the terms under which the development and construction of the Stadium and Stadium Infrastructure will be handled by both the MSFA and the Vikings and follows 2012 Minnesota Laws, Chapter 299, which provides that the design, development and construction of the Stadium and the Stadium Infrastructure will be a collaborative process between the MSFA and Minnesota Vikings.

NOW, THEREFORE, in consideration of the above Recitals, the terms, covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged by the Parties hereto, the Parties hereby agree as follows:
