Mediation/Arbitration. Any claim, controversy, breach or dispute arising out of or related to this Agreement, including, without limitation, the interpretation of any term or provision of this Agreement, or any claim, controversy, breach or dispute arising out of the obligations under this Agreement (individually, referred to as a “Dispute”, and collectively referred to as “Disputes”), whether seeking damages or equitable relief, shall be subject to the following process. The parties shall first endeavor to settle the Dispute in an amicable manner by mediation and, if that fails, the Dispute shall be determined by Arbitration and as set forth in this section. Unless the parties agree otherwise in writing, participating in a mediation is a condition precedent to the parties’ rights to demand arbitration. The mediation and arbitration shall be conducted in Santa Cruz County by a mutually agreed-upon mediator/arbitrator.
