Heritage Insurance Holdings, Inc. – Reinsurance Trust Agreement (April 30th, 2014)

THIS REINSURANCE TRUST AGREEMENT (this Agreement) is made effective as of the 22nd day of May, 2013 (the Effective Date) by and among Osprey Re Ltd, an insurance company domiciled in Hamilton, Bermuda (the Grantor). Heritage Property and Casualty Insurance Company, an insurance company domiciled in the State of Florida (together with any successor thereof by operation of law, including, without limitation, any liquidator, rehabilitator, receiver, or conservator, the Beneficiary), and Bank of America, N.A., a banking association organized under the laws of the United States (the Trustee). Certain capitalized terms used herein are defined in Section 3.01.

Reinsurance Trust Agreement (March 28th, 2008)

THIS REINSURANCE TRUST AGREEMENT (this Agreement) is entered into on October 31, 2007 (the Effective Date), by and among MGA Insurance Company, Inc., a stock property and casualty insurance company domiciled in the State of Texas, as grantor (the Grantor), General Agents Insurance Company of America, Inc., a stock property and casualty insurance company domiciled in the State of Oklahoma, as the beneficiary (together with any successor thereof by operation of law, including, without limitation, any liquidator, rehabilitator, receiver or conservator, the Beneficiary) and Bank of Oklahoma, N.A., as trustee (the Trustee). The Grantor, the Beneficiary and the Trustee are each sometimes referred to herein individually as a Party and collectively as the Parties. Capitalized terms used herein shall have the meanings assigned to such terms in Section 12 or elsewhere in this Agreement.

Eastern Insurance Holdings – Reinsurance Trust Agreement (December 16th, 2005)

THIS REINSURANCE TRUST AGREEMENT made as of October 1, 2003 by and among EDUCATORS MUTUAL LIFE INSURANCE COMPANY, a Pennsylvania mutual life insurance corporation (Grantor), LONDON LIFE REINSURANCE COMPANY, a Pennsylvania life insurance corporation (Beneficiary), and WACHOVIA BANK, N.A., a national banking association (hereinafter referred to as the Trustee).
