These Purchase Terms apply to any Purchase Order (“PO”) issued by the University of Rochester (“University”) or issued by any Affiliate (as defined below) (each, a “Customer”) and the supplier, contractor, service provider, vendor or seller (“Supplier”) identified in the signature block of the University’s Acceptance Form. If Supplier has not accepted these Purchase Terms by executing an Acceptance Form, then Supplier’s provision of goods and services (individually and collectively “goods and services”) shall constitute acceptance of these Purchase Terms, unless Customer has explicitly agreed in writing to and executed different terms and conditions. These Purchase Terms, any PO, and all appendices, and exhibits attached hereto or to any PO (collectively, the “Agreement”), is effective on the date Supplier signs the Acceptance Form, the date Supplier first delivers goods, or the date Supplier first provides Services. The following terms and conditions (“Agreement”) apply to any orders submitted by Customer in response to this proposal. Any additional or differing terms and conditions on Customer’s Purchase Order do not apply unless expressly agreed to in a writing signed by the Brooks Automation US, LLC entity, affiliate or subsidiary listed on the quotation issued to Customer (“Brooks”).
