THIS PROFESSIONAL SERVICES ADDENDUM ("Addendum") is an addendum to the Master Subscription Agreement (the “Agreement”) betwee n Brightly Software (“Company”) and Subscriber, as defined in the Agreement. This Addendum applies to the extent that Subscriber and Company execute an Order Form that includes a Statement of Work (“SOW”) for the provision of Professional Services to be provided by Company for Subscriber.

This Professional Services Addendum (“Addendum”) is incorporated by reference into and made a part of the applicable End User License Agreement between LogRhythm and the Customer set forth in such agreement (“Agreement”). This Addendum sets forth certain rights, duties, and obligations of the parties with respect to software professional services provided or made available to Customer by LogRhythm in connection with the Software licensed or remotely accessed by Customer under the Agreement. This Addendum shall supplement (and not supersede) the Agreement and shall take precedence solely to the extent of any conflict between this Addendum and the Agreement. All capitalized terms used and not expressly defined in this Addendum shall have the meanings given to them in the Agreement.

This Professional Services Addendum ("PSA") forms part of the Master Subscription or Managed Service Provider Agreement between Customer and Axcient or other written or electronic agreement between Axcient and Customer for the purchase of online services and software licensing from Axcient (the “Agreement”) to reflect the parties’ agreement with regard to the Professional Services (defined below). All capitalized terms not defined herein shall have the meaning set forth in the Agreement.
