These Product Terms govern the Offerings selected in Order Forms executed on or after the “Last Updated” date set forth above, and are incorporated by reference into the Agreement between Provider and Customer, and apply only to the particular Offerings selected in an operative Order Form, and supplement the Master Services Agreement solely with respect to those Offerings. Notwithstanding the foregoing, if you have a separate written agreement with Provider, then these Product Terms will not apply to those Offerings governed by that separate written agreement unless that separate written agreement provides otherwise. Unless defined in these Product Terms, all capitalized terms have the meanings set forth elsewhere in the Agreement.

In the event of a conflict, the order of precedence shall be (a) this Product Terms attachment; (b) the Cloud Terms in Attachment C; (c) the MSLA (including Exhibit 1) and (d) the Master Agreement. Capitalized terms used but not defined in this document will have the definition set forth in the Cloud Terms in Attachment C, the MSLA or the Master Agreement.

Unless otherwise expressly defined herein, capitalized terms in these Product Terms shall have the meaning ascribed to in the Term of Business or the MSA as the case may be. To the extent that there is a direct conflict between any express term in the Term of Business or MSA as applicable and any express term in these Product Terms, the express term in these Product Terms shall take precedence, govern and control the subject matter.
