AMENDED AND RESTATED ABL/TERM LOAN/NOTES INTERCREDITOR AGREEMENT dated as of February 6, 2023 among PNC BANK, NATIONAL ASSOCIATION (“PNC”), as an ABL Agent, ALTER DOMUS (US) LLC (“Alter Domus”), as Pyxus Term Loan Administrative Agent, Intabex Term Loan Administrative Agent and Senior Collateral Agent, WILMINGTON TRUST, NATIONAL ASSOCIATION (“Wilmington Trust”), not in its individual capacity but solely in its capacity as a Senior Notes Trustee under the Senior Notes Indenture (as defined below), PYXUS INTERNATIONAL, INC. THIS NOTES INTERCREDITOR AGREEMENT is dated as of February 15, 2012, among CITIBANK, N.A., as Credit Agreement Agent, each Other First Priority Lien Obligations Agent from time to time party hereto, each in its capacity as First Lien Agent, WILMINGTON TRUST, NATIONAL ASSOCIATION, as Trustee and Second Priority Collateral Agent, each collateral agent for any Future Second Lien Indebtedness from time to time party hereto, each in its capacity as Second Priority Agent and CITIBANK, N.A., as Common Collateral Agent.
