Non-Disturbance & Attornment Agreement • March 18th, 2015

This Agenda Item concerns Non-Disturbance and Attornment Agreement ("NDAA") which is proposed by the Hawthorne Airport LLC to be entered into between the City and Hangar 26, LLC. This is due to the fact that Hawthorne Airport LLC is selling proposed Hangar No. 27 at Hawthorne Airport to Hangar 26, LLC. The Ground Sublease Agreement between the Hawthorne Airport LLC and Hangar 26, LLC is also attached to the NDAA. A non-disturbance and attornment agreement (“SNDA”) addresses several concerns. The non-disturbance portion assures tenants that their rights to their premises will be preserved (“nondisturbed”) on specified conditions within their control. The attornment component of the SNDA agreement provides that the tenant will continue their obligations under the contract in the event that a new landlord takes over the contract and may also specify that the lender or such purchaser will have certain specified rights thereafter.
