This API COMPOUND SUPPLY AGREEMENT (this “Agreement”), made as of the 6th day of July, 2004 (the “Effective Date”), between ADOLOR CORPORATION, a Delaware corporation having a principal place of business at 700 Pennsylvania Drive, Exton, Pennsylvania 19341 (“Adolor”), and GIRINDUS AG, a stock corporation organized under the laws of Germany, with a principal place of business at Postfach 100 259, Buchenallee 20, D-51402 Bensberg, Germany (“Supplier”). Adolor and Supplier may be referred to as a “Party” or, together, the “Parties”.

This API COMPOUND SUPPLY AGREEMENT (this “Agreement”), made as of the 13th day of July, 2004 (the “Effective Date”), between ADOLOR CORPORATION, a Delaware corporation having a principal place of business at 700 Pennsylvania Drive, Exton, Pennsylvania 19341 (“Adolor”), and Torcan Chemical Ltd., a corporation organized under the laws of the province of Ontario, having a principal place of business at P.O. Box 308, 110 Industrial Parkway North, Ontario, Canada L4G 3H4 (“Supplier”). Adolor and Supplier may be referred to as a “Party” or, together, the “Parties”.
