THIS AGREEMENT (this “Agreement”) is entered into effective as of , 2021 (“Effective Date”) by and between the City of Martinez, a municipal corporation and California general law city (“City”) and Richfield Real Estate Corporation (d.b.a. “Richfield”), a Delaware corporation (“Developer”). Richfield is entering into this Agreement on behalf of Waters-DHC and Oak Hill Park Company, the landowners (each a “Landowner,” and collectively, the “Landowners”) of the Alhambra Highlands property (as further defined below). Richfield represents and warrants that it is fully authorized by the Landowners to enter into this Agreement. City and Developer and Landowners are hereinafter collectively referred to as the “Parties” and individually as a “Party”.
