THIS THIRD AMENDMENT TO 2004 NOTE AGREEMENT dated as of January 1, 2011 (this “Agreement”) to the Note Agreement dated April 27, 2004 among ARC Resources Ltd. (the “Corporation”) and the Purchasers listed in Schedule A thereto, as amended by First Amendment to 2004 Note Agreement dated April 14, 2009 and Second Amendment to 2004 Note Agreement dated March 31, 2010 (as so amended, the “Note Agreement”), pursuant to which the Corporation issued its U.S.$62,500,000 4.62% Senior Notes, Series A, due April 27, 2014 and its U.S.$62,500,000 5.10% Senior Notes, Series B due April 27, 2016 (collectively, the “Notes”).
