THIS AMENDED AND RESTATED EXECUTIVE EMPLOYMENT AGREEMENT (“Agreement”) is made and entered effective as of the 7th day of June, 2021, by and between Terra Tech Corp., a Nevada Corporation (the “Company”) and Jeffrey Batliner (the “Executive”) and supersedes and replaces any prior employment agreement or employment letter between the Parties.

FOR VALUE RECEIVED, and subject to the terms and conditions set forth herein, Terra Tech Corp., a Nevada corporation (the “Maker”), hereby unconditionally promises to pay to the order of [name], or its assigns (the “Noteholder”, and together with the Maker, the “Parties”), the principal amount of $2,500,000 (the “Loan”), together with all accrued interest thereon, as provided in this Unsecured Promissory Note (the “Note”, as the same may be amended, restated, supplemented or otherwise modified from time to time in accordance with its terms).

This stock PURCHASE AGREEMENT (this “Agreement”) is effective as of June 9, 2021, by and between Terra Tech Corp., a Nevada corporation (the ”Purchaser”), and Sterling Harlan (“Harlan”), an individual, and Matthew Guild (“Guild”), an individual (each, a “Seller” and collectively the “Sellers”). The Purchaser and the Sellers are each referred to individually as a “Party” and collectively as the “Parties”.
