This assignment and modification agreement (the "Agreement") is made by and among MEDICAL CARE TECHNOLOGIES, INC. (the "Issuer"), C. Wang (the "Non Affiliate Debtholder") and Atlas Equity Offshore, Ltd (the "Investor"), on May 21, 2012. (The Issuer, the Non Affiliate Debtholder and the Investor are sometimes referred to in this Agreement singly as a "Party" or collectively as the "Parties.")
