THIS PURCHASE AGREEMENT (the “Agreement”), dated as of February 28, 2019 (the “Execution Date”), is entered into by and between KEMPHARM, INC., a Delaware corporation (the “Company”), and LINCOLN PARK CAPITAL FUND, LLC, an Illinois limited liability company (the “Investor”). THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of February 28, 2019, is entered into by and between KEMPHARM, INC., a Delaware corporation (the “Company”), and LINCOLN PARK CAPITAL FUND, LLC, an Illinois limited liability company (together with its permitted assigns, the “Investor”). Capitalized terms used herein and not otherwise defined herein shall have the respective meanings set forth in the Purchase Agreement by and between the parties hereto, dated as of the date hereof (as amended, restated, supplemented or otherwise modified from time to time, the “Purchase Agreement”).

This Collaboration and License Agreement (the “Agreement”) is entered into as of October 25, 2018 (the “Effective Date”) by and between KemPharm, Inc., a Delaware corporation, with its principal place of business at 2500 Crosspark Road, Suite E126, Coralville, IA 52241 (“KemPharm”) and KVK Tech, Inc., a Delaware corporation having a place of business at 110 Terry Drive, Newtown, PA, 18940 (“KVK”). KemPharm and KVK are sometimes referred to herein individually as a “Party” and collectively as the “Parties.”
