HEXO Corp., a corporation incorporated under the laws of the Province of Ontario (the “Corporation”), confirms its agreement (this “Agreement”) with A.G.P./Alliance Global Partners and BMO Capital Markets Corp. (together, the “U.S. Agents”) and BMO Nesbitt Burns Inc. (the “Canadian Agent”, and together with the U.S. Agents, the “Agents”) to issue and sell common shares of the Corporation (the “Shares”) upon and subject to the terms and conditions contained herein. Capitalized terms used herein have the meanings given to them in Section 24 hereof.
