This Second Amended and Restated Dealer Manager Agreement (this “Agreement”) amends, restates and replaces in full, effective as of the date hereof, that certain Amended and Restated Dealer Manager Agreement dated October 15, 2019 between Cottonwood Communities, Inc., a Maryland corporation (the “Company”), CC Advisors III, LLC (the “Advisor”) and Orchard Securities, LLC (the “Dealer Manager”). This Agreement confirms and comprises the agreement among the Company, the Advisor and the Dealer Manager regarding the offering and sale to the public (the “Offering”) by the Company of up to $750,000,000 in Class A shares and Class T shares of common stock of the Company (the “Shares”), pursuant to a primary offering (the “Primary Offering”) and the Company’s distribution reinvestment plan (the “DRP”). For the avoidance of doubt, nothing in this Agreement shall modify or terminate any obligations or duties of the parties to the Dealer Manager Agreement dated August 13, 2018 between the Company
