This License, Development and Commercialization Agreement (this “Agreement”), dated as of November 6, 2015 (the “Effective Date”), is made by and between Eli Lilly and Company, an Indiana corporation (“Lilly”), and Ignyta, Inc., a Delaware corporation (“Licensee”). THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of November 6, 2015, by and between Ignyta, Inc., a Delaware corporation (the “Company”), and Eli Lilly and Company, an Indiana corporation (the “Stockholder”).
