THIS FOURTH AMENDMENT TO CREDIT AGREEMENT (this “Amendment”) dated as of April 15, 2013, is by and among AMERICAN MIDSTREAM, LLC, a Delaware limited liability company (the “Borrower”), AMERICAN MIDSTREAM PARTNERS, LP, a Delaware limited partnership (“Parent”), BANK OF AMERICA, N.A., as administrative agent (in such capacity, together with its successors in such capacity, the “Administrative Agent”) for the lenders party to the Credit Agreement referred to below (the “Lenders”), and the Lenders party hereto.

THIS THIRD AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF AMERICAN MIDSTREAM PARTNERS, LP dated as of April 15, 2013 (this “Agreement”), is entered into by and between American Midstream GP, LLC, a Delaware limited liability company, as the General Partner, and AIM Midstream Holdings, LLC, a Delaware limited liability company ( “AIM Midstream”), together with any other Persons who are now or become Partners in the Partnership or parties hereto as provided herein.

This SECOND AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”) of AMERICAN MIDSTREAM GP, LLC (the “Company”), dated as of April 15, 2013, is adopted, executed and agreed to, for good and valuable consideration, by and between AIM Midstream Holdings, LLC, a Delaware limited liability company (“AIM Midstream Holdings”), and High Point Infrastructure Partners, LLC (“HPIP”).
