This Escrow Agreement, dated as of August 14, 2012 (as amended, amended and restated, supplemented or otherwise modified from time to time, this “Agreement”), is entered into by and among Constellation Brands, Inc., a Delaware corporation (the “Issuer”), Manufacturers and Traders Trust Company, as trustee under the Indenture defined below (together with its successors in such capacity in accordance with the Indenture, the “Trustee”), Manufacturers and Traders Trust Company, as escrow agent (in such capacity, the “Escrow Agent”), and Manufacturers and Traders Trust Company, as “securities intermediary” as such term is defined in the UCC (as defined herein) (in such capacities as Escrow Agent and securities intermediary, the “Financial Institution”).
