THIS AGREEMENT AND PLAN OF MERGER (the “Agreement”) is made and entered into as of May 17, 2004, by and between CITIZENS BANCSHARES, INC. (“Target”), a corporation organized and existing under the laws of the State of Florida, with its principal office located in Crawfordville, Florida, and ABC BANCORP (“Purchaser”), a corporation organized and existing under the laws of the State of Georgia, with its principal office located in Moultrie, Georgia.
