SENIOR UNSECURED TERM LOAN AGREEMENT dated as of March 1, 2004 among DRESSER, INC., a Delaware corporation (the “Borrower”), the banks, financial institutions and other institutional lenders listed on the signature pages hereof as the Initial Lenders (the “Initial Lenders”), MORGAN STANLEY SENIOR FUNDING, INC.
