This First Amendment dated as of April 4, 2019 (this “First Amendment”), to the Note Purchase Agreement dated as of May 17, 2018, is by and among Colliers International EMEA Finco PLC (the “Company”), Colliers International Group Inc. (the “Parent Guarantor”, and together with the Company, the “Obligors”) and each of the institutions that is a signatory to this First Amendment (collectively, the “Noteholders”).
