This REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made as of [●], 2011 by and between YONGYE INTERNATIONAL, INC., a Nevada corporation (the “Company”), and MSPEA AGRICULTURE HOLDING LIMITED, a Cayman Islands corporation (the “Investor”).
