SECURITIES PURCHASE AGREEMENT (the “Agreement”), dated as of August 16, 2012, by and among Meta Financial Group, Inc., a Delaware corporation, with headquarters located at 121 East Fifth Street, Storm Lake, Iowa 50588 (the “Company”), and Greg Gersack, an individual, Stephen G. Skiba, an individual, and Robert B. Cook, as Trustee of the Robert B. Cook Trust U/A/D May 5, 2005 (each, a “Buyer” and, collectively, the “Buyers”).
