This SEVENTH AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT of 21st Century Oncology Investments, LLC (f/k/a Radiation Therapy Investments LLC), a Delaware limited liability company (the “Company”), dated and effective as of October 7, 2015 (this “Agreement”), is approved and adopted by the Board of Managers of the Company on the date hereof with consent of the Vestar Majority Holders and Members in accordance with Section 9.5 of the Prior Agreement (as defined below). Any reference in this Agreement to Vestar or any other Member shall include such Member’s Successors in Interest, to the extent such Successors in Interest have become Substituted Members in accordance with the provisions of this Agreement.

THIS INCENTIVE UNIT GRANT AGREEMENT (this “Agreement”) is made as of October 7, 2015 (the “Grant Date”), by and between 21st Century Oncology Investments, LLC, a Delaware limited liability company (the “Company”) and [ ] (“Executive”). Capitalized terms used but not otherwise defined herein shall have the meaning assigned to such terms in the LLC Agreement (as defined below).
