This AGREEMENT AND PLAN OF MERGER (this “Agreement”) is dated as of August 5, 2014, by and among Independent Bank Corp. (“Buyer”), Rockland Trust Company, a wholly owned subsidiary of Buyer (“Buyer Bank”), Peoples Federal Bancshares, Inc. (“Company”), and Peoples Federal Savings Bank, a wholly owned subsidiary of Company (“Company Bank”).
