This CREDIT AGREEMENT (“Agreement”) is entered into as of June 30, 2006, among INFRASOURCE INCORPORATED, a Delaware corporation (the “Borrower”), INFRASOURCE SERVICES, INC., a Delaware corporation (“Holdings”) each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), and BANK OF AMERICA, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer.

This GUARANTY, dated as of June 30, 2006, by and among the Guarantors identified as such on the signature pages hereof (each individually, a “Guarantor” and, collectively, the “Guarantors”), in favor of BANK OF AMERICA, N.A., a national banking association, as administrative agent (hereinafter, in such capacity, the “Administrative Agent”) for itself and the other lending institutions (hereinafter, collectively, the “Lenders”) which are or may become parties to that certain Credit Agreement, dated as of June 30, 2006 (as amended, modified, supplemented, or restated and in effect from time to time, the “Credit Agreement”), among InfraSource Incorporated, a Delaware corporation (the “Borrower”), InfraSource Services, Inc. (“Holdings”), the Lenders and the Administrative Agent.
