This Asset Purchase Agreement (this “Agreement”) is made and entered into this 15th day of July, 2003, by and between Verizon Media Ventures Inc., a Delaware corporation (“Seller”), and Knology New Media, Inc., a Delaware corporation (“Buyer”).
