This Amended and Restated Employment Agreement (“Agreement”) is made and entered into as of December 3, 2014 by and between Inovalon, Inc., a Delaware corporation, with its principal office at 4321 Collington Rd. Bowie, Maryland 20716 (including its affiliates and subsidiaries, “Employer” or “Inovalon”), and Thomas Kloster (“Employee” or “you”), whose home address is 9544 Purcell Drive, Potomac, Maryland 20854. Each of Employer and Employee may also be referred to in this Agreement as a “party” or collectively as the “parties.”

THIS SECOND AMENDED AND RESTATED AGREEMENT OF THE STOCKHOLDERS (the “Agreement”) is made as of September 15, 2014, by and among Inovalon, Inc., a Delaware corporation, f/k/a MedAssurant, Inc. (the “Company”), and the holders of Registrable Securities (as defined in this Agreement) (each, a “Stockholder” and collectively, the “Stockholders”).
