Party A contracted use of total land of 834 mu, inclusive of the 22 mu contracted upon Land Contracted Circulation Agreement signed on Dec 15, 2008 with Xiamen Sanxiushan Vegetable Professional Cooperative, the 300 mu contracted upon Land Contracted Circulation Agreement signed on Dec 15, 2008 with Xiamen Sanxiushan Vegetable Professional Cooperative, the 56 mu contracted upon Land Contracted Circulation Agreement signed on Jan 2, 2009 with Liu Jieyue, the 156 mu contracted upon Land Contracted Circulation Agreement signed on Jan 2, 2009 with Li Deli, the 100 mu contracted upon Land Contracted Circulation Agreement signed on Jan 2, 2009 with Yan Mingshu, and the 200 mu contracted upon Yikoule Vegetable Base Cooperation Agreement signed on Oct 4, 2008 with Li Daxiao and Li Guangfu and, with respect to adjustment of its business, Party A hereby transfers all Agreements for use of above-listed land to Party B with all terms and conditions therein retained unchanged.

Whereas, Xiamen Yikoule Catering Distribution Co., Ltd. (hereinafter the Company) is a limited liability company established on incorporation in accordance with Company Law of the People’s Republic of China. The registered capital is RMB 1 million, and paid-in capital is RMB 1 million. Party A hereby intends to transfer to Party B as per conditions stipulated hereof in the Agreement its 5% shares with full equity rights in the Company (with subscription of RMB 50,000.00 in the registered capital, and paid-in contribution of RMB 50,000.00 to the registered capital). This Agreement is signed by and between the Parties on full negotiations on the principles of free will, equality, fairness, honesty and creditability, with terms and conditions as follow:

Party B shall sell the navel oranges produced at the Base under this Contract without any change of the ownership of the cooperation project during the cooperation period. Party A shall purchase part or all the navel oranges yielded by the cooperation project by placing orders. Meanwhile, Party A shall cooperate with Party B in establishing the cooperation project by means of establishing and promoting the brand, providing technical guidance, carrying out marketing promotion and undertaking the responsibility of partial sales volume of the products under Contract. Party B shall conduct external propaganda in the name of Party A’s vegetables and fruits Base and provide stable supply of products to Party A.
