This CREDIT AND GUARANTY AGREEMENT, dated as of March 16, 2006, is entered into by and among EASTON-BELL SPORTS, INC. f/k/a Riddell-Bell Holdings, Inc., as U.S. Borrower (the “Company”), a Delaware corporation, CERTAIN CANADIAN SUBSIDIARIES OF THE COMPANY, as Canadian borrowers (the “Canadian Borrowers”, and together with the Company, the “Borrowers”), RBG HOLDINGS CORP.
